3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Respond to our requests for information in a timely manner
- Comply with all applicable laws and regulations
- Not engage in activities that could undermine our reputation management efforts
- Maintain the confidentiality of any login credentials or access information we provide
4. No Guarantees
While we employ proven strategies and have a strong track record of success, we cannot guarantee specific results. Reputation management outcomes depend on many factors, some of which are beyond our control, including:
- Third-party platform policies and cooperation
- Search engine algorithm changes
- The nature and severity of existing reputation issues
- Ongoing actions by you or third parties that may affect your reputation
We commit to using our best efforts and expertise to achieve the best possible outcomes for your reputation.
5. Payment Terms
Payment terms will be specified in your service agreement. Unless otherwise stated:
- Fees are due as specified in your agreement
- Late payments may result in service suspension
- All fees are non-refundable unless otherwise specified
- We reserve the right to adjust pricing with 30 days' notice for ongoing services
6. Confidentiality
We maintain strict confidentiality regarding all client information and reputation management activities. We will not disclose your identity as a client or details of our work together without your explicit consent, except as required by law.
You agree to keep confidential any proprietary strategies, methods, or information we share with you during our engagement.
7. Ethical Practices
We are committed to ethical, legal reputation management practices. We will not:
- Create fake reviews or testimonials
- Use black-hat SEO techniques
- Engage in defamation or false statements about competitors
- Violate platform terms of service or applicable laws
- Assist in suppressing legitimate, newsworthy, or legally protected speech
We reserve the right to decline service or terminate our relationship if we determine that a request would require unethical or illegal actions.
8. Intellectual Property
All content created as part of our services (articles, profiles, press releases, etc.) becomes your property upon full payment. However, the underlying strategies, methodologies, and proprietary tools remain our intellectual property.
Our website content, logos, and branding are protected by copyright and trademark laws.
9. Limitation of Liability
To the fullest extent permitted by law, Reputation Management US shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or business opportunities
- Actions taken by third-party platforms or search engines
- Continued reputation damage from ongoing third-party actions
Our total liability shall not exceed the amount you paid for our services in the 12 months preceding the claim.
10. Termination
Either party may terminate services according to the terms specified in your service agreement. Upon termination:
- You remain responsible for payment of all fees incurred up to the termination date
- We will provide any completed work products
- Confidentiality obligations continue
- We may cease monitoring and maintenance activities
11. Indemnification
You agree to indemnify and hold harmless Reputation Management US from any claims, damages, or expenses arising from:
- Your violation of these Terms
- Inaccurate or misleading information you provide
- Your violation of any law or third-party rights
- Actions you take that contradict our recommendations
12. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the United States without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through:
- Good faith negotiation between the parties
- If negotiation fails, binding arbitration in accordance with the American Arbitration Association rules
- Arbitration shall be conducted in a location mutually agreed upon by both parties
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Reputation Management US regarding our services.
